1. Acceptance of Terms

By accessing or using the Service, including by creating an account, you agree to these Terms and to our Privacy Policy, Acceptable Use Policy, and Financial Disclaimer, which are part of these Terms. If you do not agree, do not use the Service. By using the Service, you also acknowledge and consent to the practices described in our Privacy Policy and Cookie Policy, including the possible recording of your interactions with the Service by us and our service providers, and the disclosure of information to analytics and advertising partners as described in those policies.

2. The Service

QuantLink provides software tools for financial research and analysis, including market and company data, analytics, charts, screening, collaboration features, and features powered by artificial intelligence ("AI Features"). We may add, change, or remove features at any time.

QuantLink is not a broker-dealer, investment adviser, or fiduciary. The Service is for informational purposes only and does not provide investment advice. See Section 9 and our Financial Disclaimer.

3. Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding contract to use the Service. If you use the Service on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

Where we offer the Service. The Service is offered only to users outside the European Economic Area, the United Kingdom, and Switzerland. QuantLink does not offer the Service to, and does not target, individuals in those regions. By using the Service, you represent that you are not located in those regions, and we may block or terminate access from them.

You must give us accurate account information and keep it up to date. You are responsible for your login credentials and for all activity under your account. Accounts are for one person only and may not be shared or transferred. Tell us right away at support@quantlink.ai if you think someone has accessed your account without permission.

4. Subscriptions and Payments

The Service is offered on a paid subscription basis. Plans, features, and fees are described on our pricing page or at checkout.

Free trials. We may offer free trials, which are subject to these Terms and to any terms shown when the trial is offered. A free trial ends automatically at the end of the trial period. We will not charge you for a trial, and a trial does not convert to a paid subscription, unless you add a payment method before the trial ends; if you do, your paid subscription begins when the trial ends. Continued access after a trial ends requires a paid subscription.

Automatic renewal. Paid subscriptions are billed in advance and renew automatically at the end of each billing period (for example, monthly or annually) until you cancel. You authorize us and our payment processor to charge your payment method for all fees and applicable taxes. You can cancel at any time in your account settings, and cancellation takes effect at the end of the current billing period.

Price changes. QuantLink may establish, modify, or discontinue any fee, plan, credit allotment, or pricing term at any time, in its sole discretion, without prior notice to you, except to the extent prior notice is expressly required by applicable law. A fee change is effective upon posting for new purchases. For an existing subscription, a fee change takes effect at the start of your next billing period after the change is posted or, where applicable law requires advance notice of the change (including certain U.S. state automatic renewal laws), at the start of the first billing period that begins after the minimum notice period required by that law has elapsed. Your continued subscription after a fee change takes effect constitutes your acceptance of the new fee. If you do not accept a fee change, your sole remedy is to cancel your subscription before the change takes effect.

Refunds. Fees are non-refundable, except where required by law. You keep access to paid features until the end of the billing period you paid for.

Usage-based features. Some features, including certain AI Features, may be subject to usage limits or credits, as described in the product or on our pricing page.

5. Your License and Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes.

Market Data stays in the Service. "Market Data" means financial, market, economic, company, and other data that QuantLink obtains from third-party providers or public sources and makes available through the Service, and any data derived from it. Market Data is licensed to you solely for viewing and use within the Service. You may not download, export, copy, extract, store, cache, or transfer Market Data outside the Service, except through download or export features that QuantLink expressly provides in the Service. Market Data obtained through any such feature remains subject to this Section, may be used only for your own personal or internal purposes, and may not be redistributed, published, or shared with any third party, except as QuantLink expressly permits in writing.

You may not, and may not help others to:

• Resell, redistribute, sublicense, publish, or commercially exploit the Service or any Market Data
• Scrape, crawl, or use automated means to access, copy, or bulk-download data from the Service without our written permission
• Reverse engineer, decompile, or try to extract the source code or models of the Service, except where the law allows it
• Use the Service or its content to build a competing product or to train AI or machine learning models
• Remove proprietary notices, or break any law or our Acceptable Use Policy

6. Intellectual Property

The Service, including its software, design, data compilations, and trademarks, belongs to QuantLink and its licensors and is protected by intellectual property laws. These Terms do not give you any rights in the Service except the license in Section 5. Market data and other third-party content remain the property of their providers and are subject to their terms. See Data Sources & Attribution.

If you send us feedback or suggestions, we may use them without any obligation to you.

7. Your Content

"Your Content" means anything you upload, enter, or create in the Service, including inputs you submit to AI Features. You keep ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and display Your Content as needed to provide, secure, and improve the Service.

You are responsible for Your Content and confirm that you have the rights needed to submit it. Content you share with other users can be seen by them. We may remove content that breaks these Terms or our policies.

8. AI Features

AI Features generate output automatically ("Output"). Output can be inaccurate, incomplete, out of date, or misleading, and similar inputs can produce different results. You are responsible for checking Output before you rely on it. As between you and us, and to the extent permitted by law, you may use the Output you generate, subject to these Terms and the rights of third parties.

QuantLink does not review Output before it is shown to you and does not control its content. Output may include statements that appear to recommend, rate, or predict the performance of a security, or that use words such as "buy," "sell," or "hold." Any such statement is generated automatically, does not reflect the views of QuantLink, is not a recommendation or offer, and is not investment advice. The same applies to any statement in our marketing, documentation, or support communications.

We use third-party AI model providers to operate AI Features. Inputs and Output are processed as described in our Privacy Policy.

9. No Investment Advice

All content in the Service, including data, analytics, and Output, is for informational purposes only. It is not investment, financial, tax, or legal advice, and it is not a recommendation to buy, sell, or hold any security. You are solely responsible for your investment decisions. 10. Third-Party Data and Services

The Service includes data and services from third parties. We do not control them and are not responsible for their accuracy, availability, or terms. Third-party data may be delayed, incomplete, or wrong, and its providers may impose additional restrictions that apply to your use.

11. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL DATA AND OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA OR OUTPUT IS ACCURATE, COMPLETE, OR CURRENT. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

12. Limitation of Liability and Indemnity

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTLINK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TRADING OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You will indemnify and hold harmless QuantLink and its affiliates, officers, employees, and agents from any third-party claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, your investment decisions, or your breach of these Terms or of any law.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal resolution

Before you start a formal proceeding, contact us at support@quantlink.ai and try to resolve the dispute informally for at least 60 days.

Binding arbitration

Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, including its Consumer Arbitration Rules where they apply. The arbitration will be held before a single arbitrator in Wilmington, Delaware, or at another location we agree on. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver

YOU AND QUANTLINK MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Exceptions and opt-out

Either party may bring an individual claim in small claims court, or seek injunctive relief in court to protect intellectual property rights. You may opt out of this arbitration agreement by emailing support@quantlink.ai within 30 days after you first accept these Terms, with your name, account email, and a clear statement that you opt out of arbitration.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Where a court proceeding is permitted, you and QuantLink agree to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

15. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time if you breach these Terms or our policies, if required by law, or to protect the Service or other users. Termination does not entitle you to a refund except where required by law. Sections that by their nature should survive termination will survive, including Sections 6 through 15, 17, and 18.

16. Changes to These Terms

QuantLink may amend these Terms at any time, in its sole discretion. Amended Terms are effective upon posting with a new Effective Date, unless a later date is stated in the amended Terms or is required by applicable law. We may, but are not obligated to, notify you of amendments by email, in the Service, or by other reasonable means. Your continued access to or use of the Service after amended Terms become effective constitutes your acceptance of them. If you do not agree to amended Terms, your sole remedy is to stop using the Service and close your account.

Effective date and prior versions. This version of the Terms is effective October 9, 2026, and supersedes all prior versions. If you accepted a prior version of these Terms that promised advance notice of material changes, this version applies to you on the earlier of (a) the date you accept it, including by continuing to use the Service after we notify you of it, or (b) the end of the notice period stated in that prior version, measured from the date we first notify you. Until then, the prior version continues to govern your use of the Service.

17. Students and Educational Institutions

No children. The Service is not directed to, and may not be used by, children under 13 years of age, and QuantLink does not knowingly collect personal information from children under 13 within the meaning of the Children's Online Privacy Protection Act ("COPPA"). The age requirement in Section 3 applies to every user, including users who receive access through a school, college, university, or other educational institution (an "Institution"). No Institution, parent, or other person may provide, authorize, or consent to access to the Service on behalf of a child under 13. If we learn that we have collected personal information from a child under 13, we will delete it and terminate the associated account.

Not for elementary or secondary schools. The Service is not designed or offered for use by elementary or secondary schools, school districts, or their students, and may not be provided to them.

FERPA. QuantLink is not an educational agency or institution. Unless QuantLink has entered into a separate written agreement with an Institution that expressly designates QuantLink as a "school official" with a "legitimate educational interest" under the Family Educational Rights and Privacy Act ("FERPA"), 20 U.S.C. § 1232g and 34 C.F.R. Part 99: (a) QuantLink does not act on behalf of, or under the direct control of, any Institution; (b) the Institution shall not disclose education records, or personally identifiable information from education records, to QuantLink; and (c) information that a student provides directly to QuantLink, including account information and Your Content, is collected by QuantLink under our Privacy Policy and is not an education record maintained by or for the Institution.

Institution responsibilities. An Institution that provides, sponsors, or recommends access to the Service, or requires its use in a course or program, is solely responsible for (a) determining whether that use complies with FERPA, state student privacy laws, and its own policies; (b) providing any notices to, and obtaining any consents from, its students; and (c) confirming that each student it provides access to meets the age requirement in Section 3. The Service is not a student information system, learning management system, or system of record for grades or educational records, and QuantLink makes no representation that the Service satisfies any requirement applicable to an Institution. To the fullest extent permitted by law, the Institution will indemnify QuantLink against claims arising from the Institution's failure to meet these responsibilities.

Conflicts. If a separate written agreement between QuantLink and an Institution addresses student data, that agreement controls over this Section to the extent of any conflict.

18. General

Entire agreement. These Terms, together with the policies they incorporate by reference, constitute the entire agreement between you and QuantLink regarding the Service and supersede all prior or contemporaneous agreements, proposals, and representations, whether written or oral. You acknowledge that you have not relied on any statement, promise, or representation not expressly set forth in these Terms, including any statement in marketing materials, sales communications, product documentation, support communications, or output generated by the Service.

Order of precedence. In the event of any conflict, the following order of precedence applies: (1) a separate written agreement signed by an authorized representative of QuantLink, to the extent it expressly overrides these Terms; (2) these Terms; (3) the Privacy Policy, which controls with respect to the processing of personal data; and (4) the Acceptable Use Policy, Financial Disclaimer, Cookie Policy, Data Sources & Attribution page, and DMCA Policy. No purchase order, invoice, or other document you provide will add to or modify these Terms.

Interpretation. Headings are for convenience only and do not affect interpretation. The words "including" and "for example" mean "including without limitation." If these Terms are translated, the English version controls.

Other terms. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign them without restriction, including in connection with a merger, acquisition, or sale of assets. Copyright complaints are handled under our DMCA Policy.
